This Privacy Statement is part of the End User License Agreement (the “EULA”) governing the use of the “GoTab” iOS or Android Web Based Application (collectively, the “Web App”) and the website www.GoTab.com (the “Website”). You must be of legal age (over eighteen years of age in the United States) to use the Web App and the Website. GoTab, Inc. d/b/a “GoTab” (“GoTab”, “we” or “us”) recognizes that privacy is important and our goal is to protect your private information. By accessing the Web App or the Website, you agree to this Privacy Statement.

Information We Collect

Personal Information
The Web App requires you to enter your first and last name, phone number, and certain payment information, such as your credit card number, and credit card expiration date (“Payment Information”) so that you may settle, pay for, or close (“close-out”) checks, bills, tabs, owed payments, or other transactions, whether individually or as a “split” transaction with other users (each, a “Transaction”) at third-party establishments, including restaurants and bars (each, an “Establishment”) via the Web App. You may optionally submit an email address so that you can use all of the features of the Web App, including receiving a receipt of Transactions paid using the Web App. GoTab considers this information to be your “Personal Information.” Additionally, if you elect to contact us via the Website or fill out any other forms located on the Website, we may ask you to provide Personal Information (such as your name and email address) that, among other things, will enable us to effectively respond to your request.

Technical Information
When you access the Website, the Website might record information sent by your browser, including IP addresses and the kind of browser you use. GoTab may also use cookies, which are small data files containing a string of characters and which are stored on your computer, to improve your experience with the Website. If you set your browser to not accept cookies, your experience of the Website might be different. GoTab may also obtain technical information via the Web App from your device, including your application-specific device ID and your device software version information. GoTab does not consider this “Technical Information” to be your Personal Information. GoTab may use this Technical Information to improve users’ experience with the Website or to identify persons who may violate this Privacy Statement or the EULA.

Location-Based Information
When you use the Web App, we will collect location-based data from you (“Location-Based Information”). We may use Location-Based Information to provide you with information, including listings of nearby Establishments and targeted coupons, deals, and special offers. Certain functions of the Web App may be dependent on Location-Based Information, and you acknowledge that your failure to provide (or make accessible) certain Location-Based Information may limit the functionality of the Web App.

Transaction Data
When you use the Web App to close-out a transaction, GoTab may collect information related to your use of the Web App, including Establishments you patronize and information related to Transactions enabled by the Web App, including item descriptions, price, tax and tip amounts (“Transaction Data”). Transaction Data may include information about the other users with whom you go to Establishments or split Transactions.

Use of Information

Information and Permitted Uses
Personal Information, Technical Information, Location-Based Information, and Transaction Data are collectively referred to in this Privacy Statement as “Information.” GoTab only processes Information submitted to GoTab through the Web App or to the Website for the purposes described in this Privacy Statement or in the EULA. These purposes include: performing functions to pay for outstanding Transactions; improving GoTab’s advertising efforts; delivering marketing communications from Establishments, brands or other third parties; for research and analysis; to improve and ensure the proper functioning of the Web App, the Website, and the services offered through the Web App and the Website; to develop new services or content for the Web App and the Website; to develop new products and services; for GoTab’s internal business purposes; and to protect your rights and the rights of other users of the Web App and the Website.

Blind Data
GoTab may use your Transaction Data, as well as Technical Information and Location-Based information to provide, monitor and improve the Web App and to compile, synthesize and analyze this Information, including to generate anonymized usage statistics (“Blind Data”). You hereby grant to us a non-exclusive, transferable, sublicensable, royalty free license to use such Information we collect from you to generate Blind Data. If we collect or generate Blind Data, it will be owned by us and we may use it for any lawful business purpose without paying a fee. Any Blind Data will not personally identify you or the source of the Transaction Data.

Information Sharing

• Unless GoTab has your express consent or as stated in this Privacy Statement, GoTab does not share Information with any third parties.  GoTab, however, may share Blind Data with third parties.
• GoTab does not share Information with any Establishments with which you have not transacted.  GoTab shares Information only with Establishments with which you have transacted, including certain of your Personal Information, Location-Based Information, and Transaction Data, to allow the Establishments to fulfill the transaction, as well as to analyze such information and data, to improve their products and services.
• GoTab only shares Payment Information when it is required for a transaction you have initiated at an Establishment.  Under no other conditions will GoTab share Payment Information.
• If you close-out a Transaction via the Web App, the Web App will automatically transfer certain of your Payment Information to an Establishment’s payment processor and/or point of sale (“POS”) system vendor (“Payment Vendors”). Your Payment Information will be transmitted in an encrypted form to the applicable Establishment’s Payment Vendors and GoTab will not access, decrypt or store your Payment Information during this transmission.
• We may also provide Information to our agents, technology vendors, and contractors on a “need-to-know” basis for the purpose of performing services for us, such as providing or enabling elements of the Web App. Agents, technology vendors, and contractors who have access to the Information are required to keep the Information confidential and not use it for any other purpose than to carry out the services they are performing for us or as otherwise required by law.
• GoTab and our agents, technology vendors, or contractors may disclose your Information to law enforcement authorities pursuant to a court order or other legal process or if they have knowledge or a reasonable belief that a violation of applicable law has occurred through use of the Web App or the Website.
• If GoTab merges with another organization, files for bankruptcy, or sells our assets or capital stock, we may transfer the Information to a third party or share the Information to the company or its agents with which we enter into such transaction as a part of such transaction.
• Should you obtain Information of other users of the Web App or the Website, you are expressly forbidden from sharing such Information with third parties unless you have express written consent from the user whose Information is to be shared. Any sharing of such other users’ Information without their consent is an express violation of this Privacy Statement and the EULA.

Information Security

• We maintain physical, electronic, and procedural safeguards designed to protect the Information.
• Despite the actions and precautions we take, no data transmissions over the Internet can be guaranteed to be 100% secure. You acknowledge and agree that Information is transferred to us with all the risk associated with transferring information over the Internet in general.

Voluntary Disclosure

Whenever you voluntarily disclose Information, through e-mail or other features that inherently share Information, that Information can be collected and used by others. We are not responsible for the security or privacy of any Information you choose to submit in connection with these features.

Third Party Websites and Technology

The Website may contain links to other websites operated by third parties. GoTab is not responsible for the information practices or the content of such other websites. We encourage you to review the privacy statements of these other websites to understand their information practices. Also, the Website may employ third party technologies (such as Google Analytics and Rapleaf), which are governed by the privacy policies of these third parties. This Privacy Policy does not cover the information practices of third parties. If you believe you have an issue or complaint with a third party, including any Payment Vendor, then you should contact the third party directly.

Enforcement

GoTab may enforce this Privacy Statement, and if you violate any of its terms, GoTab may prevent you from using the Web App or the Website. If you believe that a person has violated this Privacy Statement, you should contact GoTab using the email addresses on the Website. If GoTab believes that you or another person may have used the Web App or Website to obtain the Personal Information of another user of the Web App or Website or for illegal or unlawful purposes, then GoTab reserves the right to submit any and all information GoTab has related to the alleged incident to law enforcement entities.

International Transfers

Personal Information collected through the Web App may be stored and processed in the United States or any other country in which GoTab or its affiliates, subsidiaries, agents, or contractors maintain facilities, and by using the Web App, you consent to any such transfer of information outside of your country.

Changes to this Privacy Statement
This Privacy Statement may change from time to time. The most current version of the Privacy Statement will appear on the Website, and the most recent version shall supersede any and all other versions of this Privacy Statement. Company reserves the right to change or modify this Privacy Statement at any time and at its sole discretion by posting revisions on the Website. Continued use of the Website or the Web App following the posting of these changes or modifications will constitute acceptance of such changes or modifications.
